— Overview —
The 1990's have seen a wave of mergers and acquisitions in the property/casualty insurance industry. Have they been successful? Will they continue? The CAS Special Interest Seminar on Mergers, Acquisitions, and Restructuring will address these questions as well as provide an excellent opportunity for actuaries and other insurance professionals to learn more about the roles and responsibilities for various aspects of a merger, acquisition, or restructuring. Speakers from the financial markets will discuss the research necessary for "the hunt," including the drivers for the deal and the analytics used to evaluate potential targets. Experienced actuaries will discuss their role in all aspects of the diligence process, from evaluating the premiums, underwriting, claims, and pro forma financial projections.

The role of the actuary does not end once the purchase and sale agreements have been signed. Integration efforts include restructuring reinsurance programs, combining the newly acquired business into the current operations, and carving out and disposing of books of business that were not the target of the acquisition. These efforts are similar to the recent restructuring occurring as insurers attempt to improve underwriting results by disposing of segments of unprofitable businesses. The audience will learn how these strategies are working and learn what is needed to make them successful.

The program is aimed at insurance professionals and actuaries at all levels who want to learn more about the roles and responsibilities during various stages of a merger, acquisition, or restructuring. This seminar includes discussions of actuaries' roles in all aspects of insurance company operations, from marketing to claims, accounting, IT, and human resources.
